1. Introduction

At ClientWrench, we are deeply committed to delivering professional, high-quality AI automation, web development, SEO, marketing, consulting, and technology implementation services tailored to your unique business needs. We highly value transparency, trust, and communication, and we strive to maintain fair, equitable business practices that protect both the investments of our clients and the operational integrity of our company.

Because the vast majority of our comprehensive services involve the immediate allocation of dedicated resources, intensive research, strategic planning, custom development, technical configuration, expert consulting, software licensing, and immediate implementation work, this Refund Policy outlines in explicit detail the circumstances under which refunds may or may not be available.

By purchasing any service, package, or subscription from ClientWrench, you acknowledge that you have thoroughly read, fully understood, and explicitly agreed to all terms outlined within this Refund Policy.

2. General Policy Principles

Many ClientWrench services begin immediately after project onboarding, contract execution, payment receipt, or initial account setup. We mobilize our team right away to ensure timely delivery.

Clients acknowledge and agree that substantial value is created for them through a variety of behind-the-scenes actions, including but not limited to:

  • Initial research and discovery phases
  • Comprehensive strategy development and roadmapping
  • Technical planning and architecture mapping
  • Expert consulting and advisory sessions
  • Dedicated project management and resource allocation
  • System architecture and infrastructure setup
  • Software configuration and environment preparation
  • Custom automation design and workflow logic
  • Active development and coding work
  • Rigorous testing, quality assurance, and deployment
  • Account setup, credential management, and API integrations

As a direct result of these immediate and ongoing efforts, refunds may be strictly limited once any work has commenced, even if the final, polished deliverables have not yet been completed or presented to the client.

3. Cancellation Window for New Projects

For new, one-time projects, clients may officially request a cancellation within forty-eight (48) hours of initial payment, provided that no substantial work has begun on the project.

If significant work, planning, consultation, strategy formulation, setup, configuration, development, integration, or implementation has already started within that 48-hour window, ClientWrench reserves the exclusive right to deduct the fair market value of all work performed before issuing any approved refund. All cancellation requests must be submitted formally in writing to our official contact channels.

A. One-Time Projects

4. Refund Eligibility, Calculation Method, and Project Completion Guidelines

This section governs one-time, project-based engagements. Examples of these projects include, but are not limited to:

  • Custom website development and design
  • Targeted landing page creation
  • AI automation implementation and training
  • CRM integrations and migrations
  • Custom workflow mapping and execution
  • Technical consulting and audit projects
  • Custom software and application development

Before Work Begins

If a written cancellation request is submitted within forty-eight (48) hours of payment and absolutely no substantial work has commenced, the client may be eligible for a full refund, less any non-recoverable third-party expenses, administrative costs, or payment processing fees where permitted by applicable law.

After Work Has Begun

Once work has officially commenced, ClientWrench may, at its sole and absolute discretion, issue a partial refund based strictly on the amount of work already completed and the hard expenses incurred up to the date of cancellation.

Because significant value is created through planning, consultation, research, development, configuration, implementation, and overall project management activities, clients acknowledge that our services possess substantial intrinsic value even before final delivery is achieved. If work has started but major milestones have not been completed, ClientWrench may issue a partial refund after deducting all applicable costs.

Refund Calculation Formula

Any formally approved partial refund will generally be calculated using the following objective formula:

Refund Amount = Total Amount Paid − Value of Work Performed − Third-Party Costs − Administrative Costs

The Value of Work Performed is billable and may include, but is strictly not limited to:

  • Time spent by developers, designers, and engineers
  • Consultation hours and advisory services rendered
  • Discovery, onboarding sessions, and requirements gathering
  • Strategy development, research, and planning costs
  • Project management and administrative oversight
  • System architecture, wireframing, and initial design
  • AI automation configuration and model training
  • CRM setup, data migration, and third-party integration
  • Development work completed (coding, structuring)
  • Technical implementation and environment staging
  • Testing, troubleshooting, and quality assurance
  • Documentation creation and client training preparations

Project Completion Guidelines

To promote maximum transparency, ClientWrench uses the following general guidelines when evaluating refund requests for ongoing one-time projects:

Project Completion Status Typical Refund Eligibility
Work not started Up to 100% refund (less processing fees)
Up to 25% completed Up to 75% refund
26% to 50% completed Up to 50% refund
51% to 75% completed Up to 25% refund
More than 75% completed Generally no refund
Project delivered, deployed, approved, or substantially completed No refund

Note: These percentages are provided as internal guidelines only and do not constitute a legally binding guarantee of any specific refund amount. Every project is evaluated on a case-by-case basis.

Project completion percentages may be determined using concrete metrics, including:

  • Milestone completion and sign-offs
  • Time records and internal tracking
  • Project documentation and version control history
  • Deliverables produced (wireframes, drafts, beta versions)
  • Client approvals and feedback loops
  • Written communication records
  • System deployment and integration status
  • Work logs and internal developer records

ClientWrench reserves the ultimate right to make the final determination regarding project progress and refund eligibility based on all available internal and external documentation.

After Substantial Completion

Absolutely no refunds will be issued once a project has been substantially completed, delivered, approved, deployed, launched, or otherwise made available for the client’s use.

Substantial completion is defined by, and may include, but is not limited to:

  • Delivery of agreed-upon milestones
  • Website launch readiness (even if the client delays going live)
  • Deployment and activation of automation systems
  • Delivery of custom development work to staging or production
  • Transfer of project assets, source code, or intellectual property
  • Client approval of final deliverables
  • Completion of the originally agreed scope of work

B. Subscription Services

5. Subscription Billing

ClientWrench offers various ongoing services to support business growth. Subscription services may include:

  • AI system maintenance and optimization
  • Ongoing automation and workflow support
  • Managed SEO and content campaigns
  • Marketing and advertising support
  • CRM management and database hygiene
  • Hosting-related services and server maintenance
  • Technical support and troubleshooting plans

Subscription fees are strictly billed in advance to secure resources for the upcoming period. Unless otherwise stated explicitly in a signed, custom agreement, subscription payments are non-refundable after the billing period begins.

Clients may independently cancel future renewals at any time before the next scheduled billing cycle to prevent future charges. However, no retroactive refunds, prorated or otherwise, will be issued for unused subscription periods or failure to utilize the services during an active month.

C. Monthly Retainers

6. Retainer Services

Monthly retainers are designed to reserve dedicated time, specialized personnel, expert knowledge, and internal resources exclusively for your business. Because our agency capacity is blocked out and allocated specifically for the client:

  • Retainer fees are generally non-refundable after the service period begins.
  • Unused hours or unutilized capacity do not roll over indefinitely and do not automatically qualify for refunds.
  • Services performed or capacity reserved during the billing cycle remain fully payable regardless of the client’s actual usage levels.

Clients may terminate retainers strictly according to the notice requirements specified in their master service agreement. Unless otherwise agreed in writing, a minimum thirty (30) day written notice is legally required for any retainer cancellation to allow for resource reallocation.

D. Consulting Services

7. Consulting Fees

ClientWrench provides high-level expert guidance. Consulting services include:

  • Strategic planning sessions
  • General business consulting
  • AI implementation and readiness consulting
  • Marketing, branding, and sales consulting
  • Technical advisory and infrastructure services

Completed consulting sessions are strictly non-refundable as the time and expertise have already been delivered.

If a consulting appointment must be canceled, it must be done at least twenty-four (24) hours before the scheduled session. In such cases, a rescheduling option may be provided at no extra cost. Missed appointments (no-shows) or late cancellations made within the 24-hour window may forfeit the session entirely and do not qualify for refunds.

E. AI Automation Services

8. AI and Automation Systems

ClientWrench is at the forefront of providing advanced, AI-powered solutions. These include:

  • Conversational Voice agents
  • Inbound/Outbound Phone agents
  • Virtual AI receptionists
  • Automated lead qualification and scoring systems
  • Calendar and scheduling systems
  • Complex CRM automations
  • Dynamic email automation and sequencing systems

Clients explicitly acknowledge and agree to the following technological realities:

  • AI systems are fundamentally probabilistic technologies, not deterministic ones.
  • AI-generated outputs, text, or speech may occasionally contain factual inaccuracies (hallucinations).
  • AI systems may occasionally generate incomplete, unexpected, or undesirable results requiring ongoing tuning.
  • System performance may vary heavily based on client data quality, user/customer behavior, API integrations, and the stability of third-party systems.

Furthermore, ClientWrench provides tools but does not guarantee specific business outcomes, including:

  • Direct revenue increases or ROI targets
  • Specific lead generation volumes
  • Sales growth or closed-won deal numbers
  • Lead-to-customer conversion rates
  • Appointment booking rates
  • Customer retention or churn rates
  • Business outcomes or profitability of any kind

Refund requests based solely on dissatisfaction with business outcomes, performance metrics, or the probabilistic nature of AI outputs are not eligible for refund consideration.

F. Web Development Services

9. Website and Custom Development

Website development, UX/UI design, and custom software services involve hundreds of hours of significant manual labor, coding, and custom creative work. Once development officially begins:

  • Initial project deposits are generally non-refundable as they secure scheduling and cover initial discovery.
  • Development and design work completed remains fully billable.
  • Any approved refunds will be reduced proportionally to the exact amount of work performed to date.

Clients will be provided dedicated revision opportunities strictly as specified in their individual project agreement. Approval of wireframes, initial designs, visual mockups, core functionality, or specific development milestones constitutes formal acceptance of those completed portions of work.

Important: Client-caused delays—including but not limited to the failure to provide required website content, delayed approvals, failure to provide necessary access credentials, or slow feedback loops—may negatively affect project timelines and will invalidate any refund eligibility related to missed deadlines.

G. SEO Services

10. SEO and Search Visibility Services

Search Engine Optimization (SEO) is a highly complex, long-term strategy influenced by hundreds of external factors completely beyond the control of ClientWrench. Clients acknowledge that:

  • Search engines (like Google, Bing) operate independently and keep their exact algorithms private.
  • Search algorithms change, update, and fluctuate frequently without warning.
  • Competitor actions directly affect and alter your rankings.
  • Specific search rankings simply cannot be guaranteed by any ethical agency.

Consequently, ClientWrench does not guarantee:

  • First-page or #1 rankings on any search engine
  • Specific positioning for highly competitive keywords
  • Exact organic traffic levels or website visitors
  • Lead volumes generated from organic search
  • Direct revenue increases tied to search visibility

SEO services are strictly considered ongoing professional, consultative, and implementation services rather than guaranteed outcomes. Refunds will not be issued solely because desired keyword rankings, traffic goals, or revenue targets were not achieved.

H. Non-Refundable Costs and Setup Fees

11. Non-Refundable Setup Fees

Initial setup requires heavy lifting from our technical and strategy teams. Setup fees may include:

  • Initial account creation and provisioning
  • Technical onboarding and systems audits
  • CRM configuration and data mapping
  • Automation and zap/webhook setup
  • AI modeling and initial configuration
  • Complex API integration work
  • Initial strategy, roadmapping, and blueprinting work

Because this setup work begins immediately upon contract execution and rapidly consumes high-value company resources, setup fees and onboarding charges are strictly non-refundable once the work has commenced.

12. Third-Party Services and Expenses

In the course of delivering our services, ClientWrench may purchase, configure, license, or utilize third-party products and services on behalf of our clients. Examples of these external expenses include:

  • AI provider fees (OpenAI, Anthropic, etc. token costs)
  • API usage and consumption fees
  • Website and application hosting fees
  • Domain registration and renewal fees
  • Communication platform charges (Twilio, VoIP)
  • Phone system and line rental charges
  • SMS and telephony costs
  • Email platform and deliverability costs
  • Direct advertising and media buying expenses
  • Software, plugin, and theme licenses
  • Cloud infrastructure and server fees (AWS, Google Cloud)
  • Consultation fees already earned

These hard costs are entirely non-refundable once incurred by ClientWrench. Any potential refund availability for these specific line items is subject entirely to the terms of service and refund policies of the applicable third-party provider, not ClientWrench.

13. Circumstances That Do Not Qualify for Refunds

To ensure absolute clarity, refund requests will not be granted, under any circumstances, due to:

  • A general change of mind after work has begun
  • Client budget constraints or financial difficulties
  • Business closure, bankruptcy, or pivoting
  • Client staff turnover or changes in management
  • Internal business disputes among client stakeholders
  • Changes in client strategy or direction
  • Macroeconomic or specific market conditions
  • Competitor activity or industry shifts
  • Delayed client participation or failure to respond
  • Failure by the client to provide required information, assets, or content
  • Unrealized business expectations or dissatisfaction with marketing results
  • Lead volume, sales volume, or search engine ranking dissatisfaction
  • Changes, updates, or API deprecations made by third-party platforms

14. Client Responsibilities

The success of any technical or marketing engagement is a two-way street. To ensure successful, on-time project delivery, clients expressly agree to:

  • Provide accurate, truthful, and comprehensive business information.
  • Supply requested access credentials, assets, and branding materials promptly.
  • Review deliverables, designs, and staging environments promptly.
  • Communicate any concerns, feedback, or required revisions without unreasonable delay.
  • Cooperate fully and professionally throughout the engagement.
  • Maintain active, responsive communication with the ClientWrench team.

Failure to consistently meet these critical obligations may severely affect project timelines, necessitate project pausing, and will nullify refund eligibility.

15. Chargebacks and Payment Disputes

ClientWrench is deeply committed to resolving any and all client concerns fairly, transparently, and professionally.

Before initiating any chargeback with a credit card issuer, filing a payment dispute with a bank, or opening a payment processor claim (e.g., via Stripe or PayPal), clients explicitly agree to contact ClientWrench support first and provide our team a reasonable opportunity (minimum 14 business days) to investigate and amicably resolve the issue.

If a client initiates an unwarranted or fraudulent chargeback, ClientWrench will vigorously defend the transaction. We reserve the right to present extensive evidence to banks and payment processors, including but not limited to:

  • Signed contracts and Terms of Service agreements
  • Project records, tracking boards, and git commits
  • Complete communication history (emails, slack logs, meeting transcripts)
  • Delivered assets, code snippets, and wireframes
  • Written approval records and sign-offs
  • System login records and IP logs showing usage
  • Detailed progress reports and weekly updates
  • Granular time logs and resource allocation sheets
  • System deployment records and live URLs
  • Paid invoices and billing history

Disputing valid charges may result in the immediate suspension of all services, revocation of software licenses, and taking down of hosted assets pending resolution.

16. Limitation of Liability

To the maximum and fullest extent permitted by applicable law, ClientWrench, its officers, employees, and contractors shall not be held liable for any of the following:

  • Lost profits or loss of anticipated savings
  • Lost revenue or diminished sales
  • Lost business opportunities or contracts
  • Business interruption or downtime
  • Consequential, exemplary, or punitive damages
  • Indirect or special damages
  • Incidental damages of any kind
  • Third-party service failures or data breaches
  • Search engine algorithm changes causing traffic drops
  • AI provider outages, API deprecations, or rate limits
  • Hosting outages, server crashes, or DNS propagation issues
  • API interruptions or breaking changes
  • Software failures, plugin conflicts, or critical errors
  • Communication platform disruptions (e.g., Twilio going down)

In all circumstances, regardless of the nature of the claim, ClientWrench’s total cumulative liability shall not exceed the exact amount actually paid by the client to ClientWrench for the specific service giving rise to the claim during the prior three (3) months.

17. Goodwill Refunds

Nothing contained within this written policy prevents ClientWrench from issuing, at its sole and absolute discretion, accommodations to clients in good standing. These may include:

  • Full refunds (in exceptional circumstances)
  • Partial refunds or fee waivers
  • Service credits applied to future invoices
  • Future service credits or complimentary hours
  • Alternative remedies or extended support
  • Amicable settlement offers

It is important to note that any such accommodations are granted strictly as acts of goodwill. They do not create future legal obligations, they do not imply an admission of fault, and they do not establish precedents for future interactions with the client or any third party.

18. Policy Updates

ClientWrench reserves the continuous right to modify, amend, or update this Refund Policy at any time, with or without direct notice. Updated versions will be posted publicly on the company website and will become effective immediately upon publication unless otherwise required by applicable local, state, or federal law. Continued use of ClientWrench’s services after updates are published constitutes acceptance of the revised policy.

20. Legal Review Recommendation

Disclaimer: This Refund Policy is intended strictly as a business policy and informational document outlining the operational guidelines of ClientWrench. Because consumer protection laws, contract laws, and commercial regulations vary significantly by country, state, and local jurisdiction, ClientWrench strongly recommends that clients and business partners have this policy reviewed by a qualified attorney licensed in their relevant jurisdiction before entering into complex service agreements.
